Welcome to ClipifyIt. These Terms of Service ("Terms") govern your access to and use of ClipifyIt's website, services, and applications (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

Please read these Terms carefully before using our Service. If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and ClipifyIt ("we," "us," or "our").

1. Acceptance of Terms

By creating an account, accessing, or using ClipifyIt, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Eligibility

You must be at least 13 years of age to use our Service (or 16 years of age if you are located in the European Economic Area). If you are under 18, you must have permission from a parent or legal guardian to use the Service.

By using the Service, you represent and warrant that:

• You meet the age requirements stated above
• You have the legal capacity to enter into these Terms
• You are not prohibited from using the Service under applicable law
• All information you provide is accurate and truthful

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must create an account. You may register using your email address or through third-party authentication providers (e.g., Google OAuth).

3.2 Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring your account information is accurate and up-to-date
• Not sharing your account with others

3.3 Account Security

You agree to use a strong password and to keep it secure. We are not liable for any loss or damage arising from your failure to maintain account security. If you suspect unauthorized access to your account, contact us immediately at support@clipifyit.com.

4. Subscription Plans and Pricing

4.1 Service Tiers

ClipifyIt offers multiple service tiers:

• Free Plan: Limited features with basic clipboard management
• Pro Plan: Enhanced features including unlimited storage and advanced organization
• Pro+ Plan: Premium features including offline article reading and priority support

4.2 Subscription Terms

• Subscriptions are billed on a recurring monthly or annual basis
• Prices are displayed in USD and may vary by region
• All fees are exclusive of applicable taxes unless otherwise stated
• You authorize us to charge your payment method on each billing cycle

4.3 Price Changes

We reserve the right to modify subscription pricing at any time. Price changes will not affect your current billing cycle. You will be notified at least 30 days before any price increase takes effect. If you do not agree to a price increase, you may cancel your subscription before the new price takes effect.

4.4 Payment Processing

All payments are processed securely through Stripe. By providing payment information, you authorize us and Stripe to charge your payment method for all fees incurred. You represent and warrant that you have the legal right to use any payment method you provide.

4.5 Failed Payments

If a payment fails, we will attempt to process it again. If payment continues to fail, we may suspend or downgrade your account to the Free plan. You remain responsible for any uncollected amounts.

5. Cancellation and Refunds

5.1 Cancellation

You may cancel your subscription at any time through your Dashboard. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of the billing period. No refunds will be issued for partial billing periods.

5.2 Refund Policy

We generally do not offer refunds for subscription fees. However, we may consider refund requests on a case-by-case basis for the following circumstances:

• Service outages lasting more than 48 consecutive hours
• Billing errors or duplicate charges
• Cancellations within 7 days of initial subscription (first-time users only)

To request a refund, contact us at billing@clipifyit.com with your account details and reason for the request.

5.3 Free Trials

If we offer a free trial, you may cancel at any time during the trial period without being charged. If you do not cancel before the trial ends, your payment method will be charged the applicable subscription fee.

6. Acceptable Use Policy

6.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. The Service is intended for:

• Personal clipboard management and organization
• Professional productivity and workflow enhancement
• Storing and organizing text-based content
• Saving articles for offline reading

6.2 Prohibited Activities

You agree NOT to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Store, share, or distribute illegal content
• Store copyrighted material without proper authorization
• Upload malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Use automated scripts or bots to access the Service (except for API access where permitted)
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or redistribute the Service without authorization
• Store sensitive personal information (SSNs, credit card numbers, health records, etc.)
• Harass, abuse, or harm other users
• Spam or send unsolicited communications
• Use the Service to violate anyone's privacy or data protection rights

6.3 Content Responsibility

You are solely responsible for all content you store in the Service. We do not monitor user content but reserve the right to review content if we suspect violations of these Terms. You retain all ownership rights to your content.

6.4 Enforcement

We reserve the right to investigate suspected violations of these Terms. If we determine that you have violated these Terms, we may take action including:

• Warning or temporary suspension
• Removal of prohibited content
• Permanent account termination
• Reporting to law enforcement authorities
• Legal action to recover damages

7. Intellectual Property Rights

7.1 Our Property

The Service, including its design, functionality, code, trademarks, logos, and content, is owned by ClipifyIt and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on the Service without our express written permission.

7.2 Your Content

You retain all ownership rights to content you store in the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive, worldwide license to store, process, and display your User Content solely for the purpose of providing and improving the Service.

7.3 License Scope

We will not:

• Sell your User Content to third parties
• Use your User Content for advertising without your consent
• Share your User Content publicly unless you explicitly choose to do so

7.4 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution.

8. Data Storage and Backups

8.1 Storage Limits

Storage limits vary by plan:

• Free Plan: 100 clipboard items
• Pro Plan: Unlimited items
• Pro+ Plan: Unlimited items plus offline articles

8.2 Data Retention

We will store your data for as long as your account remains active. If you delete items, they are permanently removed from our servers. If you delete your account, all data will be deleted within 30 days.

8.3 Backups

While we perform regular backups of our systems, we recommend that you maintain your own backups of important content. You can export your data at any time using the Export feature in your Dashboard. We are not responsible for data loss due to your failure to maintain backups.

9. Service Availability and Modifications

9.1 Service Availability

We strive to provide reliable service, but we do not guarantee that the Service will be available 100% of the time. The Service may be unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Emergency maintenance or security updates
• Technical issues or service outages
• Third-party service provider disruptions
• Force majeure events beyond our control

9.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may add or remove features, change functionality, or update the user interface. We will make reasonable efforts to notify users of significant changes.

9.3 Service Interruption

We are not liable for any damages resulting from service interruptions, data loss, or unavailability of the Service.

10. Disclaimers and Limitations of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy, reliability, or completeness of content
• Warranties that defects will be corrected

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ClipifyIt SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

10.3 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations may not apply to you, and our liability shall be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless ClipifyIt, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your User Content
• Your breach of any representations or warranties made in these Terms

12. Termination

12.1 Termination by You

You may terminate your account at any time by using the "Delete My Account" feature in your Dashboard. Upon termination:

• Your access to the Service will be immediately revoked
• All your data will be permanently deleted within 30 days
• You will not receive a refund for any prepaid subscription fees
• You remain responsible for any outstanding charges

12.2 Termination by Us

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including:

• Violation of these Terms or our Acceptable Use Policy
• Fraudulent, abusive, or illegal activity
• Non-payment of fees
• Prolonged inactivity (Free plan accounts only)
• Legal or regulatory requirements

12.3 Effect of Termination

Upon termination, all licenses and rights granted to you under these Terms will immediately cease. Sections of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and dispute resolution) will continue to apply.

13. Dispute Resolution and Governing Law

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State/Country], without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in [Your Jurisdiction] for resolution of any disputes.

13.2 Informal Resolution

Before filing a formal legal claim, you agree to first contact us at legal@clipifyit.comto attempt to resolve the dispute informally. We will work with you in good faith to reach a mutually acceptable resolution.

13.3 Arbitration

If we cannot resolve a dispute informally, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (or equivalent organization in your jurisdiction). The arbitration will be conducted in English, and the arbitrator's decision will be final and binding.

13.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You may opt out of this arbitration agreement by sending written notice to us within 30 days of first accepting these Terms.

13.5 Exceptions to Arbitration

Either party may seek equitable relief in court for infringement or misuse of intellectual property rights without first engaging in arbitration.

14. Export Controls

The Service may be subject to export control laws and regulations. You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce. You represent that you are not located in, under the control of, or a national or resident of any prohibited country or on any prohibited party list.

15. Third-Party Services

The Service may integrate with or link to third-party services, websites, or applications. We are not responsible for the content, policies, or practices of third-party services. Your use of third-party services is subject to their terms and privacy policies. We recommend reviewing those terms before using any third-party service.

Third-party services we use include:

• Supabase: Database and authentication
• Stripe: Payment processing
• Google Analytics: Usage analytics
• Google OAuth: Authentication provider

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and ClipifyIt regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

16.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future. Any waiver must be in writing and signed by an authorized representative of ClipifyIt.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms or transfer our rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, or internet or telecommunications failures.

16.6 Notice

We may provide notices to you via email at the address associated with your account or through the Service. You agree that electronic notices satisfy any legal communication requirements. Notices to us should be sent to legal@clipifyit.com.

16.7 Language

These Terms are written in English. Any translated versions are provided for convenience only. In the event of any conflict between the English version and a translated version, the English version shall prevail.

16.8 Headings

Section headings in these Terms are for convenience only and do not affect the interpretation of these Terms.
